Teams focus on financial exposure, penalties, or gainshare formulas, while ignoring operational realities. When something goes wrong, discussions shift from problem solving to blame allocation.

When risk sharing actually works
Risk sharing creates value only under specific conditions.
Three elements must be in place.
Controllable outcomes
Shared risk must relate to outcomes both parties can influence. External dependencies weaken the model immediately.
Clear decision rights
When trade-offs arise, decision authority must be explicit. Shared risk without shared authority creates deadlock.
Transparent measurement
Metrics must be simple, observable, and agreed upfront. Ambiguity turns incentives into disputes.
Without these conditions, risk sharing amplifies tension rather than trust.
Designing risk sharing responsibly
Effective contracts treat risk sharing as an exception, not a default.
They define:
- which risks remain individual,
- which risks are genuinely shared,
- how exceptional events are handled.
This clarity protects the relationship. It prevents financial mechanisms from substituting for governance.
